
On December 25, WuXi AppTec announced that its indirect wholly-owned subsidiaries, WuXi ATU (Ireland) Holding Limited and WuXi ATU (Hong Kong) Limited, along with Altaris LLC (including the entities it controls, hereinafter referred to as “Altaris”) signed a “Stock Purchase Agreement” on December 24, U.S. time. They will transfer all the equity interests in WuXi Advanced Therapies Inc. (the U.S. operating entity of WuXi ATU’s business, hereinafter referred to as “Advanced Therapies”) and Oxford Genetics Limited (the U.K. operating entity of WuXi ATU’s business, hereinafter referred to as “Oxford Genetics”) to Altaris in cash consideration.
In response to the aforementioned event, on the afternoon of December 25, WuXi AppTec replied to Chinese media, stating that the company’s management believes this transaction can ensure that all customers and patients in urgent need of WuXi ATU’s cell therapy services receive uninterrupted services and timely treatment. At the same time, scientists, technicians, and other employees of WuXi ATU’s U.S. and U.K. businesses can continue to work towards the mission of “making the world without difficult drugs, difficult-to-treat diseases.” This transaction aligns with the company’s core behavioral guidelines of prioritizing customers and patients and will not have a significant impact on the company’s performance and operating conditions. The company will continue to implement the “follow the customer” and “follow the molecule” strategic objectives, continuously practicing the great vision of “making the world without difficult drugs, difficult-to-treat diseases.”
According to the company’s official website, all other businesses of WuXi AppTec remain unchanged. The main business departments of WuXi AppTec—WuXi Chemistry, WuXi Biologics, and WuXi Testing—will continue to focus on supporting global innovative partners through the unique CRDMO support platform.
